Policy commitments

Norte Energia has corporate policies that establish objectives, responsibilities and criteria aligned with its strategy and values, ensuring ethical and responsible business conduct. The Company’s governance is structured at different levels: the Board of Directors approves policies and oversees the Executive Board, which in turn defines objectives and validates standards; Advisory Committees, such as the Sustainability and Environmental Committees, monitor and support the implementation of these commitments. 

The superintendence units work in an integrated manner to implement the guidelines, with responsibilities incorporated into job descriptions and internal regulations. Relationships with suppliers and partners follow standards aligned with the Code of Conduct and Ethics, Sustainability, Human Rights and Conflict of Interest policies, in addition to Supplier Due Diligence standards, with strict approval and technical review processes.  

Transparent communication is guaranteed through various internal and external channels, such as the intranet, emails, in-person meetings, the institutional website, and the Sustainability Report itself. Continuous employee development is promoted through training, lectures and daily safety discussions. For suppliers, the Company uses tools such as a Due Diligence and Conflict of Interest Form, reinforcing alignment with its values from the beginning of the business relationship. 

The commitments established by the Company’s integrity regulations apply comprehensively to all of Norte Energia’s activities, as well as to its business relationships. This includes strict compliance with internal policies, ethical standards, applicable regulations and current legislation in all operations and interactions conducted by the Company. Adherence to these standards and guidelines is essential to ensure compliance, transparency and integrity in processes, ensuring that all parties involved in its activities act in accordance with the highest standards of governance, ethics and corporate responsibility. 

Code of Conduct and Ethics (CCE) 

Our Code of Conduct and Ethics (CCE) defines the conduct, guidelines and ethical principles that should guide the actions of all employees, interns, apprentices, shareholders, customers, suppliers of goods and services, and representatives of the Company. Its application is mandatory and unrestricted, regardless of hierarchical level or place of activity. By promoting integrity and ethics in professional relationships, the CCE consolidates the Company’s image as an organization with integrity and well-defined ethical values before society. All forms of discrimination or prejudice based on ethnicity, color, sex, ideology, nationality, religious belief, sexual orientation, diseases not transmitted through social contact or any other personal, physical or social condition, as well as other situations protected by Brazilian legislation, the UN and the Global Forum (OECD) are expressly prohibited. For each new supplier or service provider contract, the analysis is conducted by completing due diligence and conflict of interest forms, in accordance with the Company’s normative instructions. The same process is carried out for customers, with commercial questions being added to the internal form. 

The precautionary principle is incorporated into the Company’s sustainability policy. Moreover, climate change risk is addressed from a risk management perspective.
