Governance structure and its composition

At Norte Energia, the governance structure is formed by the General Shareholders’ Meeting, the Board of Directors, Fiscal Council and Board of Executive Officers, and Advisory Committees.

In addition to the Bylaws and the Shareholders’ Agreement, the Conflict of Interest and Risk Management Policies are in force and we seek to follow the guidelines of the Code of Best Corporate Governance Practices of the Brazilian Institute of Corporate Governance (IBGC) to conduct businesses and prepare regulations.

Our corporate governance model is guided by respect for shareholders, the market and other stakeholders.

The Board of Directors is made up of 12 members, both sitting members and alternates, who are elected at the General meeting (and may be dismissed by it), of which two are independent. At the end of 2023, Norte Energia had 12 directors for unified two-year terms, as shown in the table below.
